1. Acceptance of Terms

Welcome to Scrapius. These Terms of Service ("Terms") govern your access to and use of the Scrapius platform, website, and services (collectively, the "Service") operated by Scrapius ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Account Registration and Security

2.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Maintain only one account per person

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3. Subscription Plans and Billing

3.1 Free Tier

The Free tier includes:

• 5 Quick Scrapes per month (searches curated subreddits only)
• 3 saved ideas (lifetime limit)
• 1 validation per idea (Reddit + Deep Search)
• No re-validation capability
• No custom scrape access (cannot search specific subreddits)

Free tier quotas reset monthly. Saved idea limits are lifetime limits and do not reset.

3.2 Pro Tier

The Pro tier subscription includes:

• Unlimited Quick Scrapes
• Unlimited Custom Scrapes (search ANY subreddit)
• Unlimited saved ideas
• Unlimited validations per idea
• Re-validation capability (validate ideas multiple times)
• Priority support (future feature)
• Early access to new features (future feature)

Pro tier pricing:

• Monthly: $29/month billed monthly
• Annual: $290/year billed annually (save $58/year)

3.3 Payment and Billing

By subscribing to Pro tier, you agree that:

• You authorize us to charge your payment method for the subscription fees
• Subscriptions automatically renew until canceled
• Payment is processed securely through Stripe
• All fees are in USD and non-refundable except as required by law
• You are responsible for all applicable taxes
• Failed payments may result in service suspension or termination

3.4 Cancellation and Refunds

You may cancel your Pro subscription at any time from your account settings:

• Cancellation takes effect at the end of your current billing period
• You retain Pro access until the end of the paid period
• After cancellation, your account automatically downgrades to Free tier
• On downgrade, you keep your 3 most recently saved ideas; others are archived
• Archived ideas are deleted after 30 days
• No refunds for partial billing periods unless required by law

3.5 Price Changes

We reserve the right to modify subscription prices. Price changes will:

• Not affect your current billing period
• Be communicated at least 30 days in advance
• Allow you to cancel before the new price takes effect

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service to:

• Discover and validate SaaS ideas from Reddit
• Analyze market opportunities and competition
• Save and organize validated ideas
• Access AI-powered analysis and insights

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Use the Service for illegal or unauthorized purposes
• Attempt to gain unauthorized access to the Service or other user accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) to access the Service without permission
• Circumvent usage limits or quota restrictions
• Share your account credentials with others
• Resell or redistribute the Service or its content
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect personal information from other users
• Use the Service to spam or send unsolicited communications

4.3 Consequences of Violation

Violation of these Terms may result in:

• Warning and request to cease prohibited activity
• Temporary suspension of your account
• Permanent termination of your account
• No refund of subscription fees
• Legal action if necessary

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Scrapius and are protected by:

• Copyright, trademark, patent, and trade secret laws
• International intellectual property laws

You may not copy, modify, distribute, sell, or lease any part of our Service without written permission.

5.2 Your Content

You retain all rights to content you create using the Service (saved ideas, notes, custom searches). By using the Service, you grant us:

• A license to store, process, and display your content to provide the Service
• Permission to use aggregated, anonymized data for analytics and improvement

We will never share your private data with third parties for marketing purposes.

5.3 Third-Party Content

Reddit data accessed through our Service is subject to Reddit's Terms of Service and content policies. We do not claim ownership of Reddit content. You agree to:

• Respect Reddit's Terms of Service and content policies
• Not misuse or misrepresent Reddit data
• Acknowledge that Reddit content is owned by its original creators

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted, secure, or error-free service
• Accuracy, reliability, or completeness of AI-generated analysis
• Results or outcomes from using the Service

We do not guarantee that:

• The Service will meet your specific requirements
• AI analysis will be accurate, complete, or actionable
• Ideas discovered will be viable or successful
• The Service will be available at all times
• Errors or defects will be corrected promptly

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRAPIUS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage resulting from your use of the Service
• Unauthorized access to your account or data
• Third-party conduct or content on the Service
• Service interruptions, errors, or unavailability
• Reliance on AI-generated analysis or recommendations

Our total liability to you for any claims arising from these Terms or the Service shall not exceed:

• The amount you paid us in the 12 months prior to the claim, OR
• $100, whichever is greater

8. Indemnification

You agree to indemnify, defend, and hold harmless Scrapius and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights (including Reddit's Terms)
• Your violation of any applicable laws or regulations
• Content you submit or actions you take using the Service

9. Third-Party Services and Links

The Service may contain links to third-party websites or services (Reddit, Stripe, etc.) that are not owned or controlled by Scrapius. We:

• Do not endorse or assume responsibility for third-party content or services
• Are not liable for any damages arising from your use of third-party services
• Recommend reviewing the terms and privacy policies of third-party services

Your interactions with third-party services are solely between you and the third party.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Deleting your account from account settings
• Contacting support at support@scrapius.com

Upon termination, your data will be deleted within 30 days (subject to legal retention requirements).

10.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• Required by law or court order
• You fail to pay subscription fees

10.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• Your data may be deleted (subject to legal requirements)
• No refunds will be issued for terminated accounts (unless required by law)
• Provisions that should survive termination will remain in effect

11. Dispute Resolution and Governing Law

11.1 Informal Resolution

Before filing a claim, you agree to contact us at support@scrapius.com to attempt informal resolution of the dispute. We will work with you in good faith to resolve the issue within 30 days.

11.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

11.3 Arbitration

Any disputes arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, except:

• Small claims court matters (under $10,000)
• Disputes seeking injunctive or equitable relief

You and Scrapius agree to waive the right to a jury trial or class action lawsuit.

11.4 Venue

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida, and you consent to the jurisdiction of such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scrapius regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, terrorism, internet failures, etc.).

12.6 Notices

We may provide notices to you via:

• Email to your registered email address
• In-app notifications
• Posting on our website

You agree that electronic notices satisfy any legal communication requirements.
